Terms of Service

1. Acceptance of Terms

By accessing or using the Adiuvo platform at adiuvo.ca (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Adiuvo, operated from Kingston, Ontario, Canada. The agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

2. Description of Service

Adiuvo is a software-as-a-service (SaaS) platform that provides AI-powered business tools, including but not limited to finance automation, SEO analysis, site monitoring, content management, document processing, and workflow automation. The platform continuously develops and deploys new tools and features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Service.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password and login credentials secure and confidential
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

4.1 Subscription Plans

Access to platform products is provided through paid subscription plans. Each product may offer multiple tiers with different features and pricing. Plan details, pricing, and feature availability are displayed on the product page at the time of purchase.

4.2 Free Trials

Some products may include a free trial period. Payment information is collected at the start of the trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

4.3 Billing

All payments are processed securely through Stripe. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). All prices are in Canadian dollars (CAD) unless otherwise stated. Applicable taxes will be added at checkout.

4.4 Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation, you will retain access to the product until the end of your current billing period. No refunds will be issued for partial billing periods.

4.5 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. User Content and Data

5.1 Your Content

You retain ownership of any content, data, or materials you upload, submit, or input into the Service ("User Content"). By using the Service, you grant Adiuvo a non-exclusive, worldwide, royalty-free licence to use, process, and store your User Content solely for the purpose of providing and improving the Service.

5.2 Platform Improvement

Important: Data and usage patterns generated through your use of the Service may be used in aggregate or anonymized form to improve the accuracy and quality of the Adiuvo platform, including its AI-powered tools and algorithms. This helps us deliver better results for all users. We do not use identifiable User Content for this purpose without your consent.

5.3 Prohibited Content

You agree not to upload, submit, or transmit any content that:

  • Violates any applicable law or regulation
  • Infringes on intellectual property rights of any third party
  • Contains malware, viruses, or harmful code
  • Is defamatory, threatening, harassing, or discriminatory
  • Constitutes spam or unauthorized commercial solicitation

6. Acceptable Use

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems (bots, scrapers) to access the Service without our written consent
  • Resell, sublicence, or redistribute the Service or any part thereof
  • Circumvent any usage limits, quotas, or access controls

Violation of these restrictions may result in immediate suspension or termination of your account.

7. Intellectual Property

The Service, including its original content, features, functionality, design, source code, and branding, is owned by Adiuvo and is protected by Canadian and international copyright, trademark, and intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. The Adiuvo name, logo, and all related marks are trademarks of Adiuvo and may not be used without our prior written consent.

8. Third-Party Services

The Service may integrate with or contain links to third-party services (including Stripe for payment processing). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not guarantee the accuracy, reliability, or completeness of any output generated by AI-powered features of the platform. You acknowledge that AI-generated outputs should be reviewed and verified before being relied upon for business decisions.

10. Limitation of Liability

To the maximum extent permitted by the laws of Ontario and Canada, Adiuvo, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising under these Terms shall not exceed the amount you have paid to Adiuvo in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Adiuvo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit to the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or if we determine, in our sole discretion, that your continued use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We may, at our discretion, provide you with an opportunity to export your User Content for a reasonable period following termination. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be resolved through the following process:

  1. Informal resolution — The parties shall first attempt to resolve the dispute informally by contacting each other in writing
  2. Mediation — If the dispute is not resolved within 30 days, either party may refer the matter to mediation in Kingston, Ontario
  3. Litigation — If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Ontario, sitting in Kingston

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by email notification. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

15. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adiuvo regarding your use of the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
  • Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Language — These Terms are drafted in English. In the event of any discrepancy between translated versions and the English version, the English version shall prevail.
